An introduction to our services
We can assist you with legal advice in the following areas: corporate and commercial law, e-commerce, commercial property, litigation, intellectual property law, private client work, competition law, construction law, planning law, environmental law, employment law, licensing, debt recovery and insolvency.
Quality service
Our aim is to understand your business and your legal requirements and to deliver a high quality solution to all our clients, corporate and individual, while maintaining a friendly, personal approach. At Boyds we have all of the necessary back up in terms of office facilities, highly qualified legal and support staff and I.T. to provide you with a high level of service.
Contacting us
Our office hours are Monday to Friday, 8.30am to 5.30pm. You will be given the names of individuals principally responsible for your work. Outwith office hours messages will be taken and recorded in the absence of the relevant individual. You can send an email directly to the desk of the person with whom you are dealing at any time. You can also leave voice mail messages for the person with whom you are dealing. Consultations and meetings outwith office hours are, of course, available as the need arises.
Free initial meeting
We will be happy to have an initial telephone discussion or short meeting with you. There will be no charge for this if the matter does not proceed.
Instructions
Instructions may be given to us in writing or verbally. We may ask you to confirm verbal instructions in writing. Any amendments to your instructions should be notified to us immediately they arise. We can only act on the information and instructions that you provide. Please do not assume that we know all about your circumstances - we would always rather have too much information than too little.
Your continuing instructions in any matter in which we are presently engaged will amount to an acceptance of these terms and conditions of business and the applicable charging rates. Unless otherwise agreed and subject to the application of the then current hourly rates these terms and conditions of business shall also apply to any future instructions given by you to the firm in relation to any other matters.
Charges
Except where another basis is agreed in writing for a specific transaction, fees are rendered on the basis of units of chargeable time spent in carrying out the work. We may also take into account other factors, such as value, urgency and responsibility and will notify you if we consider that these apply. We review our charging rates annually in January of each year and will notify you of any increases.
Estimate
Any estimate that may be given will be a probable fee based on our experience of the work involved in a typical transaction of the kind that is envisaged. If the work turns out to be more complicated or takes longer than anticipated, we may require to increase our estimate accordingly. In some cases we will need confirmation of your ability to fund a transaction and the source of that funding. A deposit may be requested.
How long will it take?
The nature of legal work makes it difficult to estimate how long a transaction will take to complete. When we discuss your requirements at the outset we will also discuss timescales. Often however, the speed at which we can complete a piece of work is directly affected by the co-operation we receive from others outwith our control. For example in a matter that involves a dispute, it may well be a tactic adopted by the other side to prolong the matter for as long as possible. It is in our interest as much as yours to complete a piece of work as quickly and efficiently as possible. We will keep you regularly updated on the progress of your matter.
Confidentiality
Information passed to us is confidential and will not be disclosed to third parties unless authorised by you or required by law. Like all Scottish solicitors, we are members of The Law Society of Scotland and subject to its regulations.
Private limited companies & Limited Liability Partnerships
If we are given instructions by a private limited company or a limited liability partnership, then unless otherwise agreed with you in advance, it is a condition of our accepting those instructions that the directors or members (as appropriate) are jointly and severally liable along with the company for payment of our fees and costs and any interest thereon. This means that the directors or members are personally liable for our account.
Accounts
We will render accounts either monthly or when the value of the work carried out since the last fee note rendered reaches a meaningful amount, in larger transactions £750 and in smaller transactions a few hundred pounds. Unless otherwise agreed, payment is due within 14 days of the date of the account. If not paid within this time we reserve the right to charge interest on the whole sum overdue, in line with late payment legislation, at eight per cent over the Bank of England’s base rate (as at the date of the fee note). If we hold money on your behalf, we may deduct any sums due to us for legal services or outlays. This does not affect your right to independent assessment of the fee as set out below.
Accounts may be settled by cheque, by BACS transfer to our bank (account details can be provided), and by credit or debit card. Boyds reserve the right to charge a credit card processing fee (currently 1.8% of value) on accounts settled in this manner.
Client money held
Money received from, or on behalf of, a client shall be lodged at the earliest opportunity in a general client bank account. Where client funds on a particular file exceed £500, or are to be held for a long period, the balance shall be placed on deposit in the name of the client. Interest earned shall accrue to the client, payable at a bank interest rate commensurate with the balance deposited. Boyds may receive commission on interest earned, depending on the arrangement with the bank.
Outlays or expenses incurred on your behalf
In most cases we require payment in advance before we can settle outlays (court fees, search fees, agents fees, etc) on your behalf. Where expenses are paid by us on your behalf we require to be reimbursed by you within seven days of you receiving a request for payment of the appropriate sum. Interest may again be charged for late payment. Posts and incidental outlays are charged in addition at the rate of 5% of our fee.
Independent fee assessment
The Auditor of Court is available to provide a completely independent assessment of a fair fee for any legal work carried out. On occasions, in order to ensure that a file has been correctly charged, we may voluntarily send the file to the Auditor. Should you at any time be dissatisfied with the amount of a fee charged by us then you are entitled to ask us to have the Auditor charge the fee independently. In that case both sides are bound by the fee as fixed by the Auditor. If the Auditor reduces the amount of our original fee we will only charge that reduced amount and will pay the Auditor’s costs. If he confirms that our fee is correct or under charged then you will be responsible for the fees as set by the Auditor and the Auditor’s costs. If a written fee-charging agreement exists between us we are not bound to submit our account to the Auditor for determination of the fee.
Outstanding monies
You are entitled to change solicitors at any time but you will be responsible for all fees and outlays due to us until you notify us in writing that you are appointing another solicitor. We are entitled to hold the title deeds, files or other papers until payment of any outstanding invoices has been made in full.
Professional Indemnity
We are obliged by the Law Society to carry insurance cover to the extent of £1.25 million to meet loss suffered as a result of any negligence on our part. We have arranged “top-up” cover so that our total level of insurance cover in this area is £10 million. In the unlikely event of a claim being intimated, we would pass that to our insurers to deal with.
Data Protection
Information about our clients is important to Boyds as it allows us to understand your business. Please therefore let us know if there are any errors in your details or you would like a copy of your information. Boyds employs other companies to perform functions on our behalf, but these companies do not have access to any of your confidential information and they may only use the contact information that we hold for that purpose. Boyds also works closely with affiliated companies although we will only share your information where we consider appropriate and beneficial to your interests. If you do not wish to be contacted by mail, telephone, e-mail or fax with legal updates, details of seminars and other information that may be of interest to you, please advise us in writing.
Files and Papers
Our policy is to retain files and papers for a limited period following completion of the transaction. This will vary from work type to work type and if it is of importance to you please ask and we are happy to explain further. After that period, unless we have heard to the contrary, the papers and files will be destroyed.
Conflict of Interest
We shall try to establish prior to acting on your behalf that there is no conflict between your business and the business of any other client. As you will realise we could not act for two clients if their interests were in conflict. We shall alert you to any such conflict during a transaction that becomes apparent. In this event we would require to refer at least one of the clients involved, if not both, to another solicitor. This is a rule of professional conduct which applies to all solicitors for the benefit and protection of clients.
Client Relations Partner
If you are unhappy about the quality of service provided, or the amount of our fees, then you should, in the first instance, take the matter up with the solicitor with whom you have been dealing. Alternatively, if you prefer, or if you are still not satisfied, we would invite you to raise the matter with our Client Relations Partner, Michael Fleming. He will ensure that any such complaint is fully investigated and that you receive a response within ten working days. If you are still dissatisfied, you are always entitled to take the matter up with the Secretary of The Law Society of Scotland, whose address is 26 Drumsheugh Gardens, Edinburgh, EH3 7YR. |
